MAII Holdings, Inc., through its wholly owned subsidiary, Car Rental Direct (CRD), is engaged in the replacement segment of the automobile rental industry, providing vehicles for businesses and consumers via short- and long-term rental contracts. In June 2003, CRD filed for liquidation under Chapter 7 of the United States Bankruptcy Code. The Company, formerly known as Medical Alliance, Inc., provided a complete range of services used to create temporary surgical environments in hospitals, surgery centers and physician offices. Effective December 31, 2000, the Company consummated the transactions set forth in an Asset Purchase Agreement by and between MAII and ICN Pharmaceuticals California, Inc., a subsidiary of ICN Pharmaceuticals, Inc. (ICN), dated September 2000. Pursuant to the Asset Purchase Agreement, substantially all of the assets constituting the Company's medical business were sold to ICN, and the Company changed its name from Medical Alliance, Inc. to MAII Holdings, Inc.
