Agro Pacific Industries Ltd. is primarily engaged in completing the winding-up and liquidating of its affairs subsequent to the disposal of all its operating subsidiaries, which are in the business of manufacturing feeds and supplying agricultural products in British Columbia. After filing for protection from its creditors under the Companies' Creditors Arrangement Act (CCAA) on April 27, 2000, the Company ceased carrying on its agri-food business. On March 2002, it entered into an amalgamation agreement with Agstar Power Incorporated, wherein control of Agro Pacific would transfer to the shareholders of Agstar. As of October 31, 2002, the Company and Agstar were contemplating entering into a new amalgamation agreement.
